Terms of Service

Conditions for using AIXIA Inc. services

Article 1 (Application)

These Terms of Service (hereinafter "these Terms") define the conditions for using the AI consulting services (hereinafter "the Service") provided by AIXIA Inc. (hereinafter "the Company").

Users (hereinafter "Users") are deemed to have agreed to these Terms by using the Service.

Article 2 (User Registration)

For the Service, user registration is completed when applicants agree to these Terms, apply for user registration according to the method prescribed by the Company, and the Company approves such application.

The Company may not approve user registration applications if the applicant falls under any of the following circumstances, and shall bear no obligation to disclose the reasons:

  • When false information is provided in the user registration application
  • When the application is from someone who has previously violated these Terms
  • When the Company otherwise deems user registration inappropriate

Article 3 (Management of User ID and Password)

Users shall manage their Service user ID and password appropriately at their own responsibility.

Users may not transfer or lend their user ID and password to third parties or share them with third parties under any circumstances. When login is performed with a combination of user ID and password that matches the registered information, the Company will consider it as use by the user who registered that user ID.

Article 4 (Prohibited Acts)

Users shall not engage in the following acts when using the Service:

  • Acts that violate laws or public order and morals
  • Acts related to criminal activities
  • Acts that infringe on copyrights, trademark rights, and other intellectual property rights included in the Service content
  • Acts that destroy or interfere with the functions of the Company's, other users', or other third parties' servers or networks
  • Acts that commercially use information obtained through the Service
  • Acts that may interfere with the operation of the Company's services
  • Acts of unauthorized access or attempts thereof
  • Acts of collecting or accumulating personal information about other users
  • Acts of using the Service for illegal, improper, or unjust purposes
  • Acts that cause disadvantage, damage, or discomfort to other users of the Service or other third parties
  • Acts of impersonating other users
  • Advertising, promotion, solicitation, or business activities on the Service not authorized by the Company
  • Acts aimed at meeting strangers of the opposite sex
  • Acts that directly or indirectly provide benefits to antisocial forces in connection with the Company's services
  • Other acts deemed inappropriate by the Company

Article 5 (Suspension of Service Provision)

The Company may suspend or interrupt the provision of all or part of the Service without prior notice to Users if any of the following circumstances are determined to exist:

  • When performing maintenance, inspection, or updates of computer systems related to the Service
  • When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
  • When computers or communication lines stop due to accidents
  • When the Company otherwise determines that provision of the Service is difficult

The Company shall bear no responsibility for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of Service provision.

Article 6 (Usage Restrictions and Registration Deletion)

The Company may restrict Users' use of all or part of the Service or delete their user registration without prior notice if Users fall under any of the following circumstances:

  • When any provision of these Terms is violated
  • When it is found that registered information contains false facts
  • When there is non-performance of payment obligations such as fees
  • When there is no response to communications from the Company for a certain period
  • When the Service has not been used for a certain period since the last use
  • When the Company otherwise determines that use of the Service is inappropriate

The Company shall bear no responsibility for damage caused to Users by actions taken by the Company based on this article.

Article 7 (Withdrawal)

Users may withdraw from the Service through withdrawal procedures prescribed by the Company.

Article 8 (Disclaimer and Limitation of Liability)

The Company makes no express or implied warranties that the Service is free from factual or legal defects (including defects, errors, bugs, rights infringements, etc. related to safety, reliability, accuracy, completeness, effectiveness, fitness for specific purposes, security, etc.).

The Company shall bear no responsibility for any damage caused to Users arising from the Service, except in cases of the Company's intentional or gross negligence. However, this disclaimer does not apply if the contract between the Company and Users regarding the Service (including these Terms) constitutes a consumer contract as defined by the Consumer Contract Act.

Even in cases specified in the preceding paragraph's proviso, the Company shall bear no responsibility for special damages arising from special circumstances (including cases where the Company or Users foresaw or could have foreseen the occurrence of damage) among damages caused to Users by the Company's negligence (excluding gross negligence) through breach of contract or tort. Furthermore, compensation for damages caused to Users by the Company's negligence (excluding gross negligence) through breach of contract or tort shall be limited to the amount of usage fees received from Users in the month when such damage occurred.

Article 9 (Changes to Service Content)

The Company may change the content of the Service or discontinue provision of the Service without notifying Users, and shall bear no responsibility for damage caused to Users thereby.

Article 10 (Changes to Terms of Service)

The Company may change these Terms at any time without notifying Users when deemed necessary. Users who begin using the Service after changes to these Terms are deemed to have agreed to the changed Terms.

Article 11 (Handling of Personal Information)

The Company shall handle personal information acquired through use of the Service appropriately in accordance with the Company's "Privacy Policy."

Article 12 (Notifications and Communications)

Notifications and communications between Users and the Company shall be conducted according to methods prescribed by the Company. Unless change notifications are submitted by Users according to methods separately prescribed by the Company, the Company will consider currently registered contact information as valid and send notifications and communications to such contact information, which shall be deemed to have reached Users at the time of transmission.

Article 13 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer their position under the usage contract or rights or obligations based on these Terms to third parties or provide them as collateral without the Company's prior written consent.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by Japanese law.

In case of disputes related to the Service, the court having jurisdiction over the Company's head office location shall have exclusive agreed jurisdiction.
